Welcome to Twinscribe. These Terms of Service (“Terms”) form a binding agreement between you and Rico Digital Group (ABN 96 852 688 946), a sole trader business registered in Victoria, Australia, trading as “Twinscribe” (“Rico Digital Group”, “we”, “us”, “our”), governing your access to and use of our services, sites, apps, and related offerings (the “Service”). By creating an account, clicking “accept”, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Overview & Acceptance
These Terms govern your use of the Service. You represent and warrant that you have the authority to accept these Terms on behalf of yourself or the entity you represent. If you use the Service on behalf of an organization, “you” includes that organization and you represent that you are authorized to bind that organization to these Terms.
2. Definitions
- “Service” means Twinscribe’s sites, apps, APIs, and related offerings.
- “Account” means your registered profile enabling access to the Service.
- “Content” means text, images, audio, video, files, prompts, voice samples, posts, schedules, and other material submitted, uploaded, generated, or published via the Service.
- “Your Content” means Content you (or your end users) provide to or through the Service.
- “Output” means AI- or tool-generated results produced by the Service from your inputs.
- “Third-Party Services” means platforms and tools not provided by Twinscribe that integrate with the Service (e.g., social networks, analytics, payment providers).
3. Eligibility & Account Registration
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
- Provide accurate, current, and complete information; keep it updated.
- Safeguard your credentials. You are responsible for activities under your Account.
- We may refuse, suspend, or terminate Accounts at our discretion where permitted by law.
- Accounts are per person; do not share credentials. If your plan supports seats, each user requires a seat.
4. Access to the Service & License
Subject to these Terms and timely payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. Except as expressly permitted, you will not copy, modify, reverse engineer, decompile, or create derivative works of the Service, or resell/sublicense it to third parties.
5. Acceptable Use Policy
You agree not to misuse the Service. Prohibited actions include (without limitation):
- Violating laws or third-party rights; posting or transmitting unlawful, infringing, deceptive, or harassing content.
- Abusing platform APIs, scraping, bypassing rate limits, or interfering with the Service’s operation.
- Impersonation, deepfakes, or voice cloning without clear legal rights and explicit consent of the person.
- Spamming, bulk unsolicited messages, or misleading advertising.
- Publishing malware, attempting unauthorized access, or security testing without permission.
- High-risk uses (e.g., life-critical systems) where failure could lead to injury, death, or severe damages.
- Submitting Protected Health Information (PHI); Twinscribe is not HIPAA-compliant.
- Collecting personal data from or targeting children under 13 (or the minimum age in your jurisdiction).
- Using Outputs to violate platform rules, applicable laws, or others’ privacy or publicity rights.
6. Your Content; Ownership; License to Twinscribe
- Ownership. As between you and Twinscribe, you retain ownership of Your Content.
- License to Twinscribe. You grant Twinscribe a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, adapt, and reproduce Your Content solely to provide and improve the Service, including publishing to authorized Third-Party Services you connect.
- Permissions. You represent you have all necessary rights, licenses, and consents to submit Your Content (including voice samples) and to grant the above license.
- Biometric/voiceprint compliance. If you upload or generate voice models, you will obtain all required notices and written consents under applicable biometric or privacy laws (e.g., BIPA-like laws), and you will not upload another person’s voice without their explicit, informed consent.
- Retention & deletion. Voice samples and related biometric data are retained only as long as necessary to provide the Service. You may request deletion at any time, and we will delete such data subject to applicable law and standard backup cycles.
- Training & Improvement. We may use de-identified/aggregated usage data to improve the Service. We do not use Your Content (e.g., drafts, voice samples) to train proprietary AI models without your consent/settings permitting such use.
7. AI/Generated Output
- Your rights & responsibility. Subject to third-party rights and these Terms, you may use the Output for your lawful purposes. You are responsible for evaluating Output for accuracy, appropriateness, and compliance (including disclosures for AI-assisted or synthesized voice where required by law or platform policies).
- Non-uniqueness. Output may not be unique, and similar prompts may produce similar results for others. We make no promise of exclusivity or originality.
- Safety. We may disable prompts/models that pose undue risk (e.g., non-consensual impersonation).
- Disclosure responsibility. You are responsible for making any disclosures required under applicable laws or platform policies (e.g., LinkedIn, X/Twitter) when publishing AI-generated or AI-assisted content.
- No professional advice. Do not rely on Output for medical, legal, financial, or other professional advice.
8. Third-Party Services & Integrations
The Service may enable connections to social networks and other third-party services (collectively, “Third-Party Services”). Your use of those services is governed by their terms and privacy policies, and Twinscribe is not responsible for them. You are responsible for reviewing and complying with applicable platform rules.
Platform-Specific Terms
Google Sign-In (OAuth) — authentication only
If you choose to sign in with Google, we use OAuth to obtain minimal profile information (e.g., name, email) to authenticate you. We do not use Google for publishing or analytics. Your use is subject to the Google Privacy Policy. You may revoke Twinscribe’s access at any time via your Google Account permissions.
LinkedIn — login, publishing & analytics
If you connect LinkedIn, you authorize Twinscribe to publish content you schedule and to retrieve analytics/insights as permitted by your granted scopes. Your use of LinkedIn is subject to LinkedIn’s User Agreement and Privacy Policy. You may revoke access in your LinkedIn settings.
X (Twitter) — login, publishing & analytics
If you connect X, you authorize Twinscribe to publish content you schedule and to retrieve analytics/insights as permitted by your granted scopes. Your use of X is subject to X’s Terms of Service and Privacy Policy. You may revoke access in your X account settings.
We request the minimum scopes necessary and you can disconnect integrations at any time in Settings → Integrations. Platform API limits, policy changes, or outages may impact related features. You are responsible for ensuring that content you publish via connected platforms complies with their rules and applicable law.
9. Beta & Experimental Features
We may offer preview, beta, or experimental features (“Beta Features”). Beta Features are provided “as-is”, may be changed or discontinued at any time, may be less reliable or documented, and are excluded from any uptime or support commitments to the extent allowed by law.
10. Fees, Billing, Taxes & Trials
- Paid plans are billed in advance on a recurring basis (monthly/annual) unless stated otherwise.
- All fees are exclusive of taxes; you are responsible for applicable taxes, levies, and duties.
- Except where required by law, payments are non-refundable; no credits for partial periods.
- Trials or promotions may convert to paid plans if not canceled before the trial ends.
- We may change prices with notice for the next renewal term, where permitted by law.
Except as required by law, all payments are final and non-refundable. Downgrades or cancellations will apply only at the end of your current billing cycle.
Non-Payment & Late Fees
We may suspend or limit the Service for overdue amounts. To the extent permitted by law, late balances may accrue interest at 1.5% per month (or the maximum allowed by law), plus reasonable collection costs. Chargebacks or payment disputes may result in immediate suspension or termination.
Marketplace & Reseller Purchases
If you purchase via a mobile app store, marketplace, or reseller, that provider’s billing terms apply and they may be your merchant of record. Upgrades/downgrades, renewals, cancellations, and refunds may need to be managed through that provider.
11. Intellectual Property (Twinscribe IP)
We own all right, title, and interest in and to the Service, including software, documentation, interfaces, designs, and our trademarks. No rights are granted except as expressly stated in these Terms. Do not remove, obscure, or alter any proprietary notices.
12. Feedback
If you send ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
13. Confidentiality
Each party may access the other’s non-public information marked or reasonably understood to be confidential. The receiving party will use such information only to perform its obligations and will protect it with reasonable care. This section does not limit disclosures required by law with prompt notice where legally permitted.
14. Privacy & Data Processing (DPA)
Our Privacy Policy explains how we collect and use personal information. Where required by law, a Data Processing Addendum (DPA) is available and, when executed, becomes part of these Terms. To request a DPA, contact privacy@twinscribe.ai. Cross-border transfers may be supported by appropriate safeguards (e.g., SCCs/IDTA/UK Addendum) where applicable.
EU/UK consumers: nothing in these Terms limits your mandatory consumer rights. If you request immediate performance of digital services, you acknowledge losing any statutory withdrawal right once performance begins, to the extent permitted by law.
Our Privacy Policy forms an integral part of these Terms. By agreeing to these Terms, you also agree to the terms of our Privacy Policy.
15. Security & Responsible Disclosure
We implement technical and organizational measures designed to protect the Service. No system is perfectly secure. If you discover a potential vulnerability, please report it to security@twinscribe.ai and refrain from public disclosure until we’ve addressed it.
- No data destruction/exfiltration, privacy violations, or service disruption during testing.
- No social engineering, physical intrusion, or spam attacks.
- Provide sufficient detail to reproduce the issue; we will triage in good faith. Bug bounties are not guaranteed.
16. Service Changes, Availability & Support
We may modify or discontinue features, and schedule maintenance. We strive for reasonable availability but do not guarantee uninterrupted access. Some features depend on external platforms and may change if those platforms modify or revoke access. Support channels and SLAs (if any) are stated in your plan.
We may enforce fair-use quotas, concurrency limits, and API rate limits to protect the Service and ensure equitable performance.
17. Mobile Apps & App Store Terms
If you use our mobile apps, your use is also subject to the applicable app store terms (e.g., Apple App Store, Google Play). You acknowledge that the app store provider is not responsible for maintenance, support, warranties, or claims except as required by store policy.
18. Communications & Anti-Spam
By using the Service, you may receive transactional messages (e.g., security alerts, service notices). You may opt out of marketing communications at any time. You agree not to use the Service to send spam or unsolicited messages, and you must comply with anti-spam and marketing laws (e.g., CAN-SPAM, CASL, GDPR) when contacting your audience.
19. Copyright & DMCA Policy
If you believe content on the Service infringes your copyright, send a notice with details to our DMCA Agent: copyright@twinscribe.ai. Your notice must include: (1) the copyrighted work; (2) the allegedly infringing material and its location; (3) your contact information; (4) a statement of good-faith belief; (5) a statement under penalty of perjury of accuracy and authority; and (6) your physical/electronic signature.
We may remove content and terminate repeat infringers in appropriate circumstances.
20. Export Control & Sanctions Compliance
You may not use or access the Service in violation of export control, sanctions, or embargo laws. You represent that you are not located in, under the control of, or a national/resident of any restricted country or listed party, including comprehensively sanctioned regions (e.g., Cuba, Iran, North Korea, Syria, Crimea/Donetsk/Luhansk) and any other territories or parties as updated by applicable authorities.
21. Term, Suspension & Termination
- These Terms apply from the earlier of your acceptance or first use of the Service.
- We may suspend or terminate access for violations of these Terms or law, non-payment, or to protect the Service.
- You may cancel at any time; cancellation takes effect at the end of your billing period unless otherwise stated.
- Upon termination, your right to use the Service ceases; we may delete data per our retention practices and law. We provide reasonable in-product export tools during your subscription and may, at our discretion, allow a limited post-termination export window (e.g., 30 days) if your account is in good standing.
- We may remove or disable access to content alleged to be unlawful or infringing.
22. Disclaimers
- THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- No Professional Advice; Sensitive/High-Risk Uses. Outputs and content generated or suggested via the Service are for informational/creative purposes only and are not professional, medical, legal, or financial advice. Do not use the Service for life-critical or hazardous activities.
- The Service may include or interoperate with third-party or open-source components provided under their own licenses. Third-party outages or API changes may impact features.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TWINSCRIBE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWINSCRIBE'S TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TWINSCRIBE FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) AUD $100. Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the minimum extent required by law.
24. Indemnification
You will defend, indemnify, and hold Twinscribe and its affiliates, officers, directors, employees, and agents harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or applicable law.
25. Governing Law, Venue & Dispute Resolution
These Terms and any dispute, claim, or controversy (including non-contractual disputes or claims) arising out of or relating to them or your use of the Services are governed by the laws of the State of Victoria, Australia, excluding its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Exclusive venue: You and Twinscribe irrevocably submit to the exclusive jurisdiction of the courts of the State of Victoria located in Melbourne, and (where applicable) the Federal Court of Australia — Victoria Registry. You waive any objection to venue or forum non conveniens.
- Informal resolution first: Before commencing proceedings, the parties will use reasonable efforts to resolve the dispute informally by giving written notice and allowing 30 days to confer (this does not limit a party’s right to seek urgent relief).
- Injunctive relief: Either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction to protect confidential information, intellectual property, or data security.
- Consumers: If you are a “consumer” under the Australian Consumer Law (ACL), you may have non-excludable rights and remedies. Nothing in these Terms limits those rights, and where mandatory local law gives you a right to bring a claim in another forum, this clause is subject to that law.
- Language: The governing language of these Terms is English.
To the extent permitted by law, the parties waive class, consolidated, or representative actions and agree to bring claims only in their individual capacities. These Terms do not mandate arbitration. Any arbitration clause must be separately agreed in writing.
26. Notices & Electronic Communications
We may provide notices via email, in-app messages, or by posting on our site. By using the Service, you consent to receive electronic communications from us and to transact electronically. You may update your contact information in your Account settings.

27. Subprocessors
To deliver the Service, we rely on certain trusted third-party providers (“Subprocessors”). These include, but are not limited to:
- Render.com — hosting and infrastructure
- Stripe — billing and payment processing
- OpenAI — natural language processing
- Analytics providers — service usage and performance monitoring
We may update our list of Subprocessors from time to time. A current version will be made available at /subprocessors. We do not sell your personal data.
28. Changes to these Terms
We may update these Terms from time to time. If a change materially affects your rights, we will provide notice (e.g., email or in-app). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
29. Miscellaneous
- These Terms (plus any applicable order, DPA, and policies) are the entire agreement between us.
- If any provision is unenforceable, the remainder remains in effect.
- No waiver of any term is a further or continuing waiver of that term or any other.
- You may not assign these Terms without our prior written consent; we may assign per law or in connection with a merger/acquisition.
- No agency, partnership, or joint venture is created by these Terms.

31. Publicity
We may identify your organization (name and logo) as a customer on our website and in marketing materials. You can opt out at any time by emailing legal@twinscribe.ai. We will not use individual users’ names or likenesses for publicity without consent.
32. Open-Source Notices
The Service may include open-source components distributed under their own licenses. We provide notices and license terms in our docs or within the product. In case of conflict, the applicable open-source license prevails solely for the relevant component.
33. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, labor disputes, internet failures, power outages, governmental actions, terrorism, war, epidemics, or third-party platform outages. Performance resumes as soon as reasonably practicable.
34. Survival
Sections that by their nature should survive termination do survive, including 6 (Your Content license as needed to operate the Service pre-termination), 7 (Output responsibilities), 11–15, 18–26, 28–34, and any payment obligations accrued prior to termination.
35. Controlling Language
These Terms were prepared in English, which controls. Any translations are for convenience only.
